Terms and Conditions

Welcome to Outflank Trading Pvt Ltd. These Terms and Conditions (“Terms”) govern the relationship, transactions, and agreements between Outflank Trading Pvt Ltd (“Company”, “We”, “Us”, or “Our”) and the client or customer (“Client”, “You”, or “Your”) purchasing our customized products, corporate gifts, apparel, or promotional merchandise.
By placing an order, signing a quotation, or approving a design proof, you agree to be bound by these Terms.

  1. Order Placement and Quotations
    Validity of Quotes: All price quotations issued by the Company are valid for 30 days from the date of issue, unless stated otherwise in writing.
    Order Confirmation: An order is considered confirmed only when the Company receives a formal purchase order (PO), email confirmation, or the required advance payment.
  2. Pricing and Payment Terms
    Taxes: All prices quoted are exclusive of GST (Goods and Services Tax) and other government levies unless explicitly mentioned as “Inclusive of Taxes.”
    Payment Schedule: For bulk and custom orders, a standard advance payment of 50% is required at the time of order confirmation. The remaining 50% balance must be cleared before dispatch or upon delivery, as per the agreed terms.
    Late Payments: Delayed payments may attract an interest charge of 1.5% per month on the outstanding balance from the due date until the payment is received in full.
  3. Artwork, Intellectual Property, and Approvals
    Digital Proofs: The Company will provide a digital mockup/proof of the customized product. Production will only begin after receiving formal approval (via email or signature) from the Client.
    IP Indemnity: The Client guarantees that all logos, trademarks, text, and graphics provided for printing do not infringe upon any third-party intellectual property rights. The Client agrees to indemnify and hold Outflank Trading Pvt Ltd harmless against any legal claims or liabilities arising from trademark or copyright violations.
  4. Production and Turnaround Time
    Timeline Execution: Standard production timelines begin only after the receipt of both the advance payment and the final artwork approval.
    Delays: While we make every effort to meet deadlines, production delays caused by material shortages, machinery malfunction, or unforeseen technical issues will be communicated promptly. The Company is not liable for indirect financial losses caused by such delays.
  5. Shipping, Delivery, and Risk of Loss
    Delivery Charges: Unless specified as “Free Delivery” in the quotation, shipping and transportation charges will be borne by the Client.
    Risk Transfer: The risk of loss or damage to the goods passes to the Client as soon as the consignment is handed over to the third-party logistics partner or courier agency.
    Inspection upon Receipt: The Client must inspect the goods immediately upon delivery. Any shortages, visible damages, or logistics issues must be reported on the delivery challan and communicated to Us within 48 hours.
  6. Cancellation and Returns
    Custom Orders: Once production or material sourcing has commenced following design approval, custom orders cannot be cancelled or modified.
    Refund Eligibility: Refunds or replacements are strictly governed by our [Refund Policy – Outflank Trading Pvt Ltd]. Standard returns for unbranded items are applicable within 7 days if the items are unused and in original packaging.
  7. Governing Law and Dispute Resolution
    Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India.
    Arbitration: Any dispute, controversy, or claim arising out of this agreement shall first attempt to be resolved through mutual discussion. If unresolved, it shall be settled by a sole arbitrator appointed by the Company, and the venue of arbitration shall be New Delhi, India.
